Welcome to Talon IT Solutions (“Talon,” “we,” “our,” or “us”). By accessing or using our website, products, or managed IT services, you (“Client,” “you,” or “your”) agree to these Terms of Service (“Terms”). Please read them carefully before using our services.

If you do not agree with these Terms, you may not access or use our website or services.

1. Overview

Talon IT Solutions provides managed IT services, cybersecurity solutions, cloud and network support, and technology consulting to businesses across the United States.
These Terms govern your use of our website and our general service relationship, except where a separate Service Agreement or Statement of Work (SOW) applies.

If you have signed or accepted a Service Agreement with Talon, that document will take precedence in the event of a conflict with these Terms.

2. Use of Services

By using our website or Services, you agree to:

• Use our website and services only for lawful business purposes.

• Provide accurate, complete, and up-to-date information.

• Maintain the security of your accounts and systems.

• Not attempt to gain unauthorized access to any systems, networks, or data belonging to Talon or its clients.

Talon reserves the right to suspend or terminate access to our website or Services if we believe you have violated these Terms or any applicable laws.

3. Service Agreements

All managed IT, consulting, or support services are provided under separate written agreements that define the scope, deliverables, service levels, and fees.
These Terms apply in addition to, but do not override, any specific Service Agreement you enter into with Talon IT Solutions.

4. Confidentiality

​

Both parties agree to treat any confidential or proprietary information received during the engagement as strictly confidential.
Neither party will disclose such information to third parties without prior written consent, except as required by law.
This obligation will continue for two (2) years after the termination of the engagement, except for trade secrets, which remain protected indefinitely.

5. Data Protection and Security

​

Talon employs reasonable administrative, technical, and physical safeguards to protect client data.
However, you acknowledge that no system is completely secure and that Talon cannot guarantee absolute protection against all threats or breaches.

Unless otherwise included in your Service Agreement, clients are responsible for maintaining independent data backups.
Use of our website is also subject to our Privacy Policy.

6. Intellectual Property

All materials, tools, software, documentation, and methodologies developed or provided by Talon remain our exclusive property unless otherwise agreed in writing.
Client data and materials remain the property of the Client.

Nothing in these Terms grants ownership or license rights to either party except as expressly stated.

7. Limitation of Liability

​

To the maximum extent permitted by U.S. law:

• Talon’s total cumulative liability for any claims arising from or related to these Terms or our Services shall not exceed the total fees paid by you for Services during the three (3) months immediately preceding the claim.

• Talon shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunities, even if advised of such potential damages.

Some states do not allow certain limitations of liability, so portions of this section may not apply to you.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Talon IT Solutions is headquartered, without regard to conflict of law provisions.

Any disputes arising under these Terms shall be resolved in the state or federal courts located in that jurisdiction.

9. Updates to These Terms

​

Talon may modify or update these Terms from time to time to reflect changes in our practices or legal obligations.
The latest version will always be posted on our website with the updated “Effective Date.” Continued use of our website or Services after updates means you accept the revised Terms.

​

Links to affiliate companies and other websites are contained with our website.

Talon does not claim nor accept responsibility for any privacy policies, practices and/or procedures of other such websites. Therefore, we encourage all users and visitors to be aware when they leave our website and to read the privacy statements of every website that collects personally identifiable information. The Privacy Policy Agreement applies only and solely to the information collected by our website.
